Real Estate Practice

In her real estate practice, Ms. Johnson represents clients in a variety of sophisticated commercial property transactions. Her real estate expertise includes:

• All aspects of commercial acquisitions and sales, including negotiating and drafting purchase and sale documents, conducting due diligence, reviewing title and survey, drafting and negotiating closing documents and drafting opinion letters;
• Multi-million dollar commercial lease and sublease transactions for landlords and tenants;
• Drafting of Option Agreements, CC&Rs, and Easement Agreements;
• Tax-deferred (1031) exchanges and real estate financing; and
• Formation of limited liability companies and partnerships within real estate transactions.

Bankruptcy Practice

Ms. Johnson began her legal career with a clerkship for the Honorable Thomas B. Donovan, United States Bankruptcy Court, Central District of California. In her private bankruptcy practice, she has represented creditors and trustees in bankruptcy proceedings and related adversary proceeding. Her bankruptcy expertise includes:

• Trying and defending multi-million dollar adversary proceedings, including avoidance actions;
• Addressing lease assumption and rejection issues;
• Negotiating and drafting settlement agreements;
• Preparing proofs of claim and responding to objections to claims;
• Proposing and objecting to Chapter 11 plans; and
• Negotiating and drafting workouts for clients including real estate owners and creditors.
